1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", "your") and Change Toolkit ("Company", "we", "us", "our"), the operator of the Change Toolkit platform available at changetoolkit.app (the "Service"). By creating an account, accessing, or using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.

If you are using the Service on behalf of an organisation, you represent and warrant that you have authority to bind that organisation to these Terms, and references to "you" include that organisation.

If you do not agree to these Terms, you must immediately cease using the Service.

2. Definitions

  • "Service" means the Change Toolkit web application, APIs, templates, and all associated features and content.
  • "Account" means the registered account you create to access the Service.
  • "User Content" means any data, text, files, or information you submit, upload, or store through the Service.
  • "Subscription" means a paid plan that grants access to additional features beyond the Free Tier.
  • "Free Tier" means the no-cost access level with limited functionality as described on the pricing page.
  • "Intellectual Property" means all patents, trademarks, service marks, copyrights, trade secrets, and other proprietary rights.

3. Description of Service

Change Toolkit is a software-as-a-service (SaaS) platform designed to assist change management practitioners, project managers, and organisations in planning, executing, and tracking organisational change initiatives. The Service provides structured modules, templates, assessments, communication planning tools, and reporting functionality.

The Service is provided for professional and business use. It is not intended to constitute professional change management consulting advice and should not be relied upon as a substitute for qualified professional guidance specific to your circumstances.

4. Account Registration and Security

To access the Service, you must register for an Account. You agree to:

  • Provide accurate, current, and complete information during registration and keep it up to date.
  • Maintain the confidentiality of your login credentials and not share them with any third party.
  • Notify us immediately at [email protected] if you suspect unauthorised access to your Account.
  • Accept full responsibility for all activity that occurs under your Account.

We reserve the right to suspend or terminate Accounts where we have reason to believe credentials have been compromised or that Account activity violates these Terms. We are not liable for any loss resulting from unauthorised use of your Account where such use arose from your failure to safeguard your credentials.

You must be at least 18 years of age to register for an Account and use the Service.

5. Subscription Plans and Billing

5.1 Subscription Tiers

The Service is offered under tiered subscription plans, including a Free Tier and paid plans as described on our pricing page. Features and limitations of each plan are subject to change with reasonable notice.

5.2 Payment

Paid Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) or as a one-time payment for lifetime access plans. All fees are charged in Australian Dollars (AUD) unless otherwise stated. Payments are processed via Stripe, Inc., a third-party payment processor. By providing payment information, you authorise us to charge your payment method for all applicable fees.

5.3 Price Changes

We reserve the right to modify subscription pricing at any time. Where a price increase applies to your existing plan, we will provide at least 30 days' advance notice via the email address associated with your Account. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.

5.4 Taxes

All prices are exclusive of applicable taxes unless stated otherwise. You are responsible for any goods and services tax (GST), value-added tax (VAT), or other applicable taxes in your jurisdiction.

5.5 Failed Payments

If a scheduled payment fails, we will attempt to re-process the charge. If payment remains unsuccessful after reasonable attempts, your Subscription may be downgraded to the Free Tier or suspended until outstanding amounts are settled.

6. Free Tier

The Free Tier is provided at no charge and is subject to feature and usage limitations as described on the pricing page. We reserve the right to modify, restrict, or discontinue the Free Tier at any time with reasonable notice. The Free Tier is intended for individual evaluation and small-scale use and must not be used to circumvent paid plan requirements for commercial or enterprise use cases.

7. Lifetime Access Plan

7.1 Nature of Lifetime Access

The Lifetime Access plan ("Lifetime Plan") is available for a one-time payment as displayed on the pricing page at the time of purchase. Upon successful payment, your Account is granted permanent access to the Premium feature set ("Lifetime Access") for the operational lifetime of the Service. "Lifetime" refers to the continued availability of the Service, not the natural life of any individual user.

7.2 What Is Included

Lifetime Access entitles you to all features available under the Premium subscription plan at the time of purchase, plus any updates and new features subsequently added to the Premium plan at our discretion. Lifetime Access does not obligate us to build or maintain any specific feature, and we reserve the right to modify, consolidate, or remove features from the Premium plan provided that the overall utility of the Service is not materially diminished. Where a feature is removed, we will endeavour to provide a reasonable alternative or advance notice.

7.3 Non-Transferability

Lifetime Access is granted to a single named Account and is non-transferable. It may not be shared, sold, assigned, gifted, or transferred to any other person or organisation without our prior written consent.

7.4 Relationship to Subscription Cancellation

Lifetime Access is not a subscription and is not affected by the cancellation or non-renewal of any recurring subscription. Lifetime Access will not be downgraded to the Free Tier as a result of a subscription cancellation event or a failed recurring payment, provided your Account remains in good standing under these Terms.

7.5 Refunds

Lifetime Access payments are non-refundable once the Service has been accessed following purchase, except where required by applicable consumer protection law. If you believe you have been charged in error, you must contact us within 14 days of the charge at [email protected].

7.6 Service Discontinuation

In the unlikely event that we elect to permanently discontinue the Service, we will provide Lifetime Access holders with at least 90 days' written notice via the email address associated with their Account. During this notice period, you will retain full access to the Service and will be able to export your User Content. Upon discontinuation, no further compensation, refund, or credit will be owed in respect of the Lifetime Access purchase, except as required by applicable law.

7.7 Account Termination

Lifetime Access does not exempt an Account from termination under clause 8.2 (Termination by Us). If your Account is terminated for breach of these Terms, Lifetime Access will be forfeited without entitlement to refund.

8. Cancellation and Termination

8.1 Cancellation by You

You may cancel your Subscription at any time through your Account settings or by contacting [email protected]. Cancellation takes effect at the end of the current billing period. You will retain access to paid features until that date. We do not provide prorated refunds for partial billing periods unless otherwise required by applicable law.

8.2 Termination by Us

We may suspend or terminate your Account and access to the Service immediately, without prior notice or liability, if you:

  • Breach any provision of these Terms;
  • Engage in fraudulent, abusive, or illegal conduct;
  • Fail to pay any amounts due; or
  • Use the Service in a manner that causes harm to us, other users, or third parties.

Upon termination, your right to access the Service ceases immediately. Your User Content may be retained for a limited period to allow data export before permanent deletion, unless we are required to retain it for legal purposes.

8.3 Effect of Termination

Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

9. Refund Policy

Except where required by applicable consumer protection law (including the Australian Consumer Law), all fees are non-refundable. If you believe you have been charged in error, you must contact us within 14 days of the charge at [email protected]. We will review disputes in good faith and, where appropriate, issue credits or refunds at our discretion.

Lifetime access plans are non-refundable once the Service has been accessed following purchase.

10. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Upload, transmit, or store content that is unlawful, harmful, defamatory, obscene, fraudulent, or that infringes the rights of any third party.
  • Attempt to gain unauthorised access to any part of the Service, other user accounts, or our infrastructure.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Use automated tools, bots, scrapers, or scripts to access or extract data from the Service without our prior written consent.
  • Introduce viruses, malware, or any other harmful code into the Service.
  • Use the Service to send unsolicited commercial communications or spam.
  • Resell, sublicense, or make the Service available to any third party without our written authorisation.
  • Use the Service in any manner that could overburden, damage, disable, or impair our infrastructure.
  • Misrepresent your identity or affiliation with any person or organisation.

We reserve the right to investigate violations of this policy and take any action we deem appropriate, including suspension or termination of your Account and referral to law enforcement authorities.

11. Intellectual Property

11.1 Our Intellectual Property

The Service and all of its components — including but not limited to software, code, design, user interface, graphics, templates, methodologies, trademarks, and written content — are and remain the exclusive Intellectual Property of Change Toolkit or its licensors. Nothing in these Terms grants you any right, title, or interest in our Intellectual Property.

11.2 Limited Licence

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes. This licence does not include the right to reproduce, modify, distribute, publicly display, or create derivative works of any part of the Service.

11.3 Feedback

If you provide us with suggestions, ideas, or other feedback regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, incorporate, and exploit such Feedback without restriction or compensation to you.

12. Your Content and Data

You retain full ownership of all User Content you submit to the Service. By using the Service, you grant us a limited, non-exclusive, worldwide licence to store, process, and display your User Content solely to the extent necessary to provide the Service to you.

You are solely responsible for the accuracy, legality, and appropriateness of your User Content. You represent and warrant that you have all necessary rights to submit the User Content and that doing so does not infringe any third-party rights or applicable law.

We may access your User Content to provide support, ensure Service integrity, or comply with legal obligations, but we do not use your User Content for any commercial purpose unrelated to the Service.

13. Confidentiality

Each party agrees to keep confidential any non-public information of the other party that is designated as confidential or that reasonably should be understood to be confidential given its nature ("Confidential Information"). We will not disclose your User Content or Account information to third parties except as necessary to provide the Service, as required by law, or as described in our Privacy Policy.

14. Third-Party Services

The Service integrates with or relies on third-party services, including Microsoft Azure (hosting, authentication, and storage) and Stripe, Inc. (payment processing). Your use of such third-party services may be subject to their own terms of service and privacy policies, and we encourage you to review those documents.

We are not responsible for the availability, accuracy, or conduct of third-party services. Any links to third-party websites or services are provided for convenience only and do not constitute our endorsement of such services.

15. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF A COURSE OF DEALING OR USAGE OF TRADE.

We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components, or that any defects will be corrected. We do not warrant that the outputs or recommendations generated by the Service are accurate, complete, or suitable for any particular purpose. The Service is a tool to support your decision-making and is not a substitute for professional advice.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHANGE TOOLKIT, ITS OPERATORS, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, goodwill, or business opportunities;
  • Loss of data or cost of data recovery;
  • Business interruption;
  • Decisions made or outcomes achieved in reliance on the Service; or
  • Unauthorised access to or alteration of your Account or User Content.

Our aggregate liability to you for any claims arising out of or related to these Terms or the Service, regardless of the form of the action, shall not exceed the total fees paid by you to us in the twelve (12) months immediately preceding the event giving rise to the claim, or AUD $100 if no such fees have been paid.

Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be excluded by law under the Australian Consumer Law or other applicable legislation.

17. Indemnification

You agree to indemnify, defend, and hold harmless Change Toolkit and its operators, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your use of the Service;
  • Your User Content;
  • Your breach of these Terms; or
  • Your violation of any applicable law or the rights of any third party.

18. Modifications to Terms and Service

We reserve the right to update or modify these Terms at any time. Material changes will be communicated via email or a prominent notice within the Service at least 14 days before taking effect. Your continued use of the Service after the effective date of revised Terms constitutes acceptance of the changes.

We may also modify, suspend, or discontinue any aspect of the Service — including features, pricing plans, or integrations — at our discretion. Where practicable, we will provide reasonable advance notice. We shall not be liable to you or any third party for any such modifications, suspension, or discontinuance.

19. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of New South Wales, Australia, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in New South Wales for the resolution of any disputes.

Before initiating formal legal proceedings, you agree to first contact us at [email protected] and attempt to resolve the dispute informally for a period of at least 30 days.

20. General Provisions

  • Entire Agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
  • Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
  • Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
  • Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
  • Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including natural disasters, governmental actions, or internet service disruptions.
  • Notices. All notices to us under these Terms should be sent to [email protected]. We may provide notices to you via the email address associated with your Account or through the Service interface.
